Regarding your purchase of the above product(s), since our system records cannot fully match the buyer of the products with the payor, we would like to confirm whether the corresponding payor is you/your company, or to understand the relationship between the payor and you/your company.

1. 我们是店小秘集团的客户，在2023年1月1日至2025年12月31日期间向店小秘集团采购过其产品。

   We are a customer of Dianxiaomi Group and have purchased its products during the period from January 1, 2023 to December 31, 2025.

2. 我们特此确认，我们在法律和财务方面均独立于店小秘集团。我们目前及过去均未持有店小秘集团的任何权益或担任店小秘集团的任何职位。我们目前及过去均未向店小秘集团提供或接受任何财务支持。除根据与店小秘集团签订的协议进行的交易外，我们与店小秘集团不存在任何其他业务关系。

   We hereby confirm that we are legally and financially independent of Dianxiaomi Group. We have not held in the past, and do not currently hold, any equity interest in or position within Dianxiaomi Group. We have not provided or accepted in the past, and do not currently provide or accept, any financial support to Dianxiaomi Group. Other than transactions conducted under agreements entered into with Dianxiaomi Group, we have no other business relationship with Dianxiaomi Group.

3. 在2023年1月1日至2025年12月31日期间，直至本确认函发出之日，如果我方曾通过第三方付款人向店小秘集团支付款项，我们确认：

   During the period from January 1, 2023 to December 31, 2025, and up to the date of this confirmation, if we have settled to Dianxiaomi Group through third-party payors, we confirm that:

   1. 第三方付款基于真实有效的交易和合约；

      The third-party payments were made under genuine underlying transactions and valid agreements;

   2. 我们及我们的第三方付款人与店小秘集团不存在任何过往或现有的关系（包括但不限于业务、信托、雇佣、融资、亲属关系或其他关系），且独立于店小秘集团及其董事、高级管理层和股东；

      We and our third-party payors do not have any past or present relationship with Dianxiaomi Group (including but not limited to business, fiduciary, employment, financing, familial, or other relationships), and are independent from Dianxiaomi Group and its directors, senior management, and shareholders;

   3. 我们的第三方付款人支付的结算金额与我方在相关交易项下应支付的金额一致；

      The settlement amounts paid by our third-party payors were consistent with the amounts we owed under the relevant transactions;

   4. 我们及我们的第三方付款人与店小秘集团之间不存在任何与第三方支付安排相关的任何商业贿赂、洗钱、逃税行为，以及现有或潜在的纠纷；

      There was no commercial bribery, money laundering, tax evasion, or existing or potential disputes between us and our third-party payors and Dianxiaomi Group associated with the third-party payment arrangements;

   5. 我们及我们的第三方付款人过去和将来都不会就通过第三方支付安排支付给店小秘集团的任何交易款项主张除作为店小秘集团客户以外的其他权益；

      We and our third-party payors have not and will not claim any interests (except for those as a customer of Dianxiaomi Group) in relation to any transaction payment made to Dianxiaomi Group through the third-party payment arrangements;

   6. 我们及我们的第三方付款方承担与因第三方支付安排而带来的风险；

      We and our third-party payors bear all risks arising from the third-party payment arrangements;

   7. 我们及我们的第三方付款方不会就第三方支付安排向店小秘集团进行任何的索赔，而店小秘集团不会因为我们与第三方付款方的任何争议而遭受损失；

      We and our third-party payors shall not make any claims against Dianxiaomi Group in connection with the third-party payment arrangements, and Dianxiaomi Group will not suffer any losses due to any disputes between us and the third-party payor;

   8. 店小秘集团未主动发起任何第三方支付安排，也未向我们或第三方付款方就因第三方付款事项提供任何折扣、佣金、回扣或其他利益以促成或激励第三方支付安排（此折扣、佣金、回扣并非指在正常的业务过程中的货物交易本身折扣、佣金、回扣）；以及

      Dianxiaomi Group did not initiate any third-party payment arrangements, nor did it provide any discount, commission, rebate, or other benefit to us or the third-party payor in connection with the third-party payment arrangements to facilitate or incentivize such arrangements (the discount, commission, rebate, or other benefit referred to here does not include those granted in the ordinary course of business for the sale and purchase of products); and

   9. 截至本确认书发布之日，我们已停止通过第三方付款方向店小秘集团支付款项, 及/或将遵守店小秘集团发出的指示或通知（如有），停止所有第三方支付安排。

      As of the date of this confirmation, we have ceased to settle payments to Dianxiaomi Group through third-party payors, and/or will comply with the instructions or notices issued by Dianxiaomi Group (if any) to cease all third-party payment arrangements.

4. 自2023年1月1日，直至本确认函发出之日，我们（一方）与店小秘集团或其股东、董事、高级管理人员或员工（另一方）之间未发生任何重大诉讼、潜在重大诉讼或重大争议。

   Since January 1, 2023, and up to the date of this confirmation, there have been no significant lawsuits, potential significant lawsuits, or major disputes between us (on the one hand) and Dianxiaomi Group or its shareholders, directors, senior management, or employees (on the other hand).
